MASSACHUSETTS SECRETARY OF STATE

The office of the Massachusetts Secretary of State, Corporations Division, files records related to corporations and other business entities organized in Massachusetts (e.g., articles of organization, annual reports, etc.).  You can file these forms on-line at the web site for the Secretary of State's office; and you can search a database of records filed by other corporations for the name of a corporation, the address of its principal office, and the names and addresses of corporate directors and officers. 

The Secretary of State also records Uniform Commercial Code filings under Article 9, which deals with the creation and perfection of security interests in personal property.  You can file UCC forms on-line at the site; and you can search a database of existing filings for the name and address of debtors and creditors. 

Trademarks and service marks (e.g., words or symbols used to identify the goods or services provided by businesses in Massachusetts) are registered at the Secretary of State's office too.  Trademark and Service Mark forms are available and there is a database you can search, but these records cannot be filed on-line.
